Terms of Service

By downloading, installing, or using the FlowPrompt iOS application (available on the Apple App Store) or by accessing the FlowPrompt web platform at flowprompt.app (collectively, "the Service"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Service. These Terms apply to all users of FlowPrompt without exception, including users of the free tier, users who have made one-time in-app purchases (Pro or Creator tier), and users who access the web teleprompter tool. We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the bottom of this page and, where required, provide additional notice (for example, via email if you have provided one). Your continued use of the Service after revised Terms have been posted constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service. FlowPrompt is a teleprompter and video recording application. The Service allows users to create and manage scripts, display scripts as a scrolling teleprompter overlay on their device screen, record video through the device camera while reading a script, review and manage recorded videos within the app, and access a web-based teleprompter tool through flowprompt.app. The iOS app is designed for content creators, public speakers, educators, marketers, and anyone who needs to deliver scripted content to camera with a natural, confident delivery. The web platform provides a browser-based teleprompter for users who want to use the tool on a desktop or laptop without installing an app. The Service is offered in two modes on iOS: a free tier with limited functionality, and paid Pro and Creator tiers unlocked through one-time in-app purchases. Specific feature limitations for each tier are described in the app and on our website. We reserve the right to update which features are included in each tier with reasonable notice to users. FlowPrompt is currently operated as an independent developer application and is not affiliated with any broadcast organization, media company, or teleprompter hardware manufacturer.

To use the Service, you must be at least 13 years of age. By using FlowPrompt, you represent and warrant that you meet this age requirement. If you are between 13 and 18 years of age, you represent that you have obtained parental or guardian consent to use the Service. You must have the legal capacity to enter into a binding agreement under the laws of your jurisdiction. By accepting these Terms, you represent that you have that legal capacity. If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. Users located in jurisdictions where these Terms would be prohibited or where use of the Service is otherwise restricted or illegal are not authorized to use the Service. Residents of countries subject to comprehensive U.S. export controls or trade sanctions may not use the Service if doing so would violate applicable U.S. law.

The FlowPrompt iOS app does not require you to create an account to use its core features, including the teleprompter, camera recording, and in-app purchases. All iOS app features are accessed without registration. In-app purchases are tied to your Apple ID rather than a FlowPrompt account. The web teleprompter tool at flowprompt.app requires you to provide your first name, last name, and email address to gain access. This information is used to communicate with you about the product (see our Privacy Policy) and to manage access to the web tool. You are responsible for providing accurate information. If you provide an email address through the web platform, you are responsible for maintaining the accuracy of that information and for any use of the Service that occurs through your email address. Notify us immediately at jackenhaiti@gmail.com if you become aware of any unauthorized access associated with your email. Because the iOS app does not use accounts, there is no "account" to delete on iOS. All data associated with the iOS app is stored on your device and can be removed by uninstalling the app.

You agree to use FlowPrompt only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit anyone else's use or enjoyment of the Service. **Prohibited Uses** You may not use FlowPrompt to: record, create, distribute, or promote content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable; record or create content that infringes the copyright, trademark, trade secret, or other intellectual property rights of any person; record individuals without their knowledge or consent in circumstances where a reasonable expectation of privacy exists; impersonate any person or entity in a deceptive or harmful manner; create recordings intended to defraud, deceive, or harm others; attempt to gain unauthorized access to any part of the Service, any other system, or any third-party network through FlowPrompt; reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the FlowPrompt app or web platform; use automated scripts, bots, or other automated means to access or interact with the Service; remove, obscure, or alter any proprietary notices or labels on the Service; or use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with other users' enjoyment of it. **User Responsibility** You are solely and exclusively responsible for all content you create using FlowPrompt. FlowPrompt is a tool; we have no visibility into your recordings or scripts and exercise no editorial control over any content you create. You bear full legal responsibility for ensuring your recordings comply with all applicable laws and third-party rights.

All scripts you write, all videos you record, and all other creative content you produce using FlowPrompt (collectively, "User Content") belong entirely to you. FlowPrompt claims no ownership over your User Content. **Your Ownership** You retain all intellectual property rights in your scripts and recordings. FlowPrompt's involvement in the creation of your content is limited to providing the tool that facilitates it. Using FlowPrompt to create a video does not give us any rights in that video. **Limited License to Us** By using the Service, you grant FlowPrompt a limited, non-exclusive, royalty-free license to process your scripts and video on your local device solely for the purpose of providing the teleprompter and recording functionality. This license does not extend to storing your content on our servers, displaying your content publicly, or using your content for any purpose other than delivering the features you use within the app. **Your Responsibility for User Content** You are responsible for ensuring that your User Content does not violate any laws, infringe any third-party rights, or violate these Terms. You represent and warrant that you have all rights necessary to record and distribute any content you create using FlowPrompt. **No Editorial Review** We do not monitor, review, or have access to your User Content in the ordinary course of providing the Service. Your scripts and recordings are stored on your device, not our servers.

**FlowPrompt's Intellectual Property** The FlowPrompt name, logo, app design, user interface, visual design elements, software code (both iOS and web), marketing materials, and all original content we create are owned by FlowPrompt and protected by United States and international intellectual property laws, including copyright, trademark, and trade secret law. **License to Use the Service** Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the FlowPrompt iOS app on devices you own or control, and to access and use the web platform — solely for your personal, non-commercial use of the Service as provided. **Restrictions** You may not copy, modify, distribute, sell, sublicense, or create derivative works based on FlowPrompt or any part of the Service without our prior written permission. You may not reverse engineer, decompile, or disassemble the app's compiled code. You may not use FlowPrompt's name, logo, or branding in any way that implies endorsement or affiliation with your products or services without our express written consent. **Feedback** If you submit suggestions, ideas, or feedback about FlowPrompt, you grant us a perpetual, irrevocable, royalty-free license to use, incorporate, and build upon that feedback in the Service without any obligation of compensation, attribution, or confidentiality.

FlowPrompt offers optional one-time in-app purchases through the Apple App Store. All purchases are processed by Apple and subject to Apple's App Store Terms of Service. **Current Pricing** Pro and Creator tier purchases are made at the price displayed in the App Store at the time of purchase. Pricing is subject to change for new purchasers; however, users who have already completed a purchase will not be charged again for those features. **One-Time Purchase Nature** Pro and Creator tier purchases are one-time purchases, not subscriptions. You pay once and the features remain unlocked on your device as long as the app continues to offer those features. "Lifetime" in the context of FlowPrompt in-app purchases means for the lifetime of the app as a commercially available product — see Section 10 for details. **Non-Refundable Policy** In-app purchases are non-refundable except as required by Apple's policies or applicable law. FlowPrompt does not process refunds directly. To request a refund from Apple, visit reportaproblem.apple.com. Apple's refund policies govern all transactions. **Restoring Purchases** Your purchases are tied to your Apple ID. If you reinstall the app, switch devices, or lose your purchase, you can restore it using the "Restore Purchases" option in the app, which re-validates your purchase with Apple at no additional cost. **Price Changes** We reserve the right to change the price of future in-app purchases for new users. If you have already purchased a tier, your access to that tier's features is governed by your existing purchase and will not be affected by price changes for new purchasers.

FlowPrompt offers a free tier that allows users to experience the core features of the app before deciding whether to purchase. The free tier has the following limitations as of the date of these Terms (limitations are subject to change with notice): The free tier allows up to 3 saved scripts. Once the limit is reached, you must delete an existing script to create a new one or upgrade to a paid tier for unlimited scripts. The free tier allows up to 3 saved video recordings within the app's gallery. Additional recordings beyond this limit require either deleting existing recordings or upgrading to a paid tier. The free tier provides access to the Prompter Only mode, which displays your script as a scrolling teleprompter without camera recording. Camera recording — which overlays the teleprompter on a live camera feed and saves the video to your device — is a Pro or Creator tier feature. Free tier users can read along on screen but cannot use the simultaneous camera-recording functionality. Additional advanced features (such as extended recording controls, customization options, or future features we add) may be restricted to paid tiers at our discretion. We reserve the right to adjust the specific limits and features included in the free tier. We will communicate material changes to free tier limitations through the app or on our website.

We strive to make FlowPrompt available continuously, but we cannot guarantee uninterrupted availability of the Service. **App Updates** We may release updates to the FlowPrompt iOS app from time to time through the Apple App Store. Updates may add features, modify existing features, fix bugs, or change the user interface. By using the Service, you agree that we may update the app and that some updates may alter or remove features. **Feature Changes** We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. If we remove a feature that was included in a paid tier at the time of your purchase, we will make commercially reasonable efforts to provide a comparable replacement feature or communicate the change with sufficient advance notice. **"Lifetime" Purchases** One-time purchases of Pro or Creator features are honored for as long as FlowPrompt remains an actively distributed application. If we discontinue the app entirely, we will make reasonable efforts to provide advance notice. We are not able to guarantee perpetual availability of the Service, and "lifetime" does not constitute a guarantee that the app will exist indefinitely. **Existing Purchases Honored** Changes to pricing, tier structure, or feature availability will not retroactively affect features unlocked by your existing purchases. If you purchased Pro, you will continue to have access to Pro-tier features as they exist at the time of any changes, or to any reasonable successor features we provide. **Maintenance and Downtime** Scheduled maintenance of the web platform may cause temporary unavailability. We will make reasonable efforts to schedule maintenance during low-traffic hours.

Your use of FlowPrompt is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you also agree to the Privacy Policy. The Privacy Policy is available at flowprompt.app/privacy. The Privacy Policy describes in detail: what information we collect; how we use, share, and protect that information; how camera and microphone data is handled; where your video recordings are stored; your rights under applicable privacy laws including CCPA and GDPR; and how to contact us with privacy-related requests. Key privacy commitments: Your video recordings are stored locally on your device and never uploaded to our servers. Scripts you create in the iOS app are stored locally on your device. We do not sell your personal information. In-app purchases are processed by Apple and we do not receive your payment details. The web teleprompter tool collects only your name and email for communications purposes.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. **No Warranty on Service Quality** We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that defects in the Service will be corrected or that the Service will meet your requirements. **No Warranty on Recording Quality** We make no representations or warranties regarding the quality, resolution, or technical characteristics of video recordings produced with FlowPrompt. Video quality depends on your device's camera hardware, iOS version, available storage, ambient lighting, and other factors outside our control. **Camera Compatibility** Camera and microphone functionality has been tested on a range of iOS devices but may not perform identically on all models, operating system versions, or in all use environments. We do not warrant that the recording feature will function correctly on every iOS device. **No Warranty on Data Preservation** While the app makes reasonable efforts to save your recordings to your device, we cannot guarantee that recordings will always save successfully. Recording failures can occur due to storage limitations, system interruptions, or other factors. Important recordings should be backed up to external storage or cloud services at your own discretion. **Third-Party Services** We make no warranties regarding Apple's App Store, Apple's StoreKit framework, or any third-party platforms to which you may share content. Those services are provided by their respective operators under their own terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWPROMPT AND ITS DEVELOPERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. **Types of Excluded Damages** This limitation includes, without limitation, damages for: loss of videos or recordings; loss of scripts or written content; loss of revenue or profits arising from a failed recording; missed content deadlines; damage to your device; any harm resulting from reliance on FlowPrompt for professional, commercial, or broadcast purposes; or any other loss or damage arising from use of or inability to use the Service. **Cap on Liability** In any case where a court determines that we are liable for damages notwithstanding the foregoing, our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim, or $10.00 USD if you have not made any purchases. **Basis of the Bargain** The limitations of liability in this section are fundamental elements of the basis of the bargain between you and FlowPrompt. FlowPrompt would not be able to provide the Service on the terms offered without these limitations. **Jurisdictional Exceptions** Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless FlowPrompt and its developers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees and court costs — arising out of or in any way connected with: your User Content, including any claim that your scripts, recordings, or any content you create or distribute using FlowPrompt infringes or misappropriates the intellectual property rights, privacy rights, or other rights of any third party; your use or misuse of the Service, including any use that violates these Terms or applicable law; any recordings you make without the consent of individuals who appear in them; your violation of any applicable law, regulation, or third-party rights; or any claim by a third party arising from content you have published using recordings created with FlowPrompt. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. This indemnification obligation will survive any termination or expiration of these Terms.

**Our Right to Terminate** We reserve the right to suspend or terminate your access to the Service at any time, with or without notice and for any reason, including if we believe you have violated these Terms, engaged in fraudulent activity, or used the Service in a way that could harm us or other users. **Effect of Termination** Upon termination of your access to the Service: all rights and licenses granted to you under these Terms will cease immediately; you must stop all use of the Service; and provisions of these Terms that by their nature should survive termination (including but not limited to intellectual property rights, disclaimer of warranties, limitation of liability, indemnification, and dispute resolution) will remain in full force and effect. **Termination Does Not Entitle You to a Refund** If your access is terminated due to your violation of these Terms, you are not entitled to a refund of any in-app purchases. Apple's standard refund policies apply in all other cases. **Your Right to Terminate** You may stop using the Service at any time by deleting the FlowPrompt app from your device. Deletion of the app removes all locally stored app data from your device. To discontinue receiving emails, use the unsubscribe link in any email or contact us at jackenhaiti@gmail.com.

**Informal Resolution First** We want to resolve any disputes with you quickly and fairly. Before filing a formal claim, you agree to contact us at jackenhaiti@gmail.com and describe the dispute in reasonable detail. We will attempt to resolve it within 30 days. Most disputes can be resolved this way. **Binding Arbitration** If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including the validity, breach, termination, enforcement, interpretation, or any arbitrability of any provision — shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Orange County, Florida, or virtually if both parties agree. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. **Class Action Waiver** BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. **Small Claims Exception** Notwithstanding the foregoing, either party may bring claims in a small claims court if the claim qualifies for small claims jurisdiction under applicable law. **Arbitration Costs** For claims under $10,000, we will pay all AAA arbitration fees. For larger claims, the AAA's consumer fee schedule will apply.

These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. For any disputes not subject to arbitration under Section 16, or for purposes of enforcing an arbitration award, you consent to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida. **International Users** If you access the Service from outside the United States, you do so at your own initiative and are responsible for compliance with local laws. FlowPrompt makes no representation that the Service is appropriate or available for use in any particular location. By choosing to access the Service from outside the United States, you accept that you are doing so on the terms and conditions described in these Terms, which are governed by Florida law.

If any provision of these Terms of Service is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms. The remaining provisions will continue in full force and effect as if the invalid or unenforceable provision had never been included. The parties intend that the invalidated provision be replaced with a valid provision that most closely approximates the intent and economic effect of the invalidated provision.

These Terms of Service, together with the Privacy Policy at flowprompt.app/privacy (which is incorporated herein by reference), constitute the entire agreement between you and FlowPrompt with respect to the subject matter herein and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Service. No failure or delay by FlowPrompt in exercising any right, power, or privilege under these Terms will operate as a waiver of that right. No single or partial exercise of any right, power, or privilege precludes any other or further exercise thereof or the exercise of any other right, power, or privilege. Any waiver of any provision of these Terms will be effective only if in writing and signed by FlowPrompt. No oral waiver or course of dealing shall modify or waive any provision of these Terms. These Terms may be amended only by a written document signed by FlowPrompt, or by posting a revised version of these Terms to flowprompt.app/terms with an updated effective date.
